1. License Grant

Upon purchase of a valid license, Bison Digital ("Licensor") grants the purchaser ("Licensee") a non-exclusive, non-transferable, perpetual license to install and use Docsmith ("Software") on one production ExpressionEngine website.

Each additional production website requires a separate license.

This license grants the right to use the Software, not ownership of the Software or its intellectual property.

2. Permitted Use

A valid license permits the Licensee to:

  • Install and operate Docsmith on one production ExpressionEngine website.
  • Use Docsmith on associated local development, testing, and staging environments without purchasing additional licenses.
  • Use the Software for personal, business, agency, or commercial client projects.
  • Modify the Software's source code for use within the licensed installation.
  • Transfer the completed licensed website to a client, provided the license remains associated with that website and is not reused elsewhere.

Development and staging installations must be associated with the licensed production site.

3. Restrictions

The Licensee may not:

  • Redistribute, resell, sublicense, rent, or share the Software as a standalone product.
  • Distribute modified versions of Docsmith.
  • Include Docsmith in another software product, add-on collection, template package, or commercial distribution without written permission.
  • Publish the Software's proprietary source code in a public repository.
  • Use a single license across multiple unrelated production websites.
  • Remove or alter copyright and proprietary notices.

Source code modifications are permitted for internal use but do not grant redistribution rights.

4. License Fees

Docsmith is licensed for a one-time fee of $25 USD per production website.

The license is perpetual and does not require recurring subscription payments.

The license fee covers the right to use the purchased version of Docsmith indefinitely, subject to the terms of this agreement.

5. Updates and Support

Maintenance releases, bug fixes, and compatibility updates may be provided at the Licensor's discretion.

Access to future major versions, additional products, or premium services is not guaranteed under the original license.

Technical support may be provided through Bison Digital's designated support channels but is not guaranteed unless separately agreed upon.

6. Intellectual Property

Docsmith, including its source code, design, documentation, and associated assets, remains the intellectual property of Bison Digital and its respective licensors.

All rights not expressly granted under this agreement are reserved.

7. Third-Party Software

Docsmith may incorporate third-party libraries or components subject to separate open-source or commercial licenses.

Those components remain governed by their respective license terms. Nothing in this agreement restricts rights granted under applicable third-party licenses.

ExpressionEngine is a trademark of its respective owner. Docsmith is an independent add-on and is not affiliated with or endorsed by the ExpressionEngine developers.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

The Licensor does not guarantee uninterrupted operation, compatibility with all third-party extensions, or freedom from defects.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BISON DIGITAL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE, INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES.

The Licensor's total liability arising from this agreement shall not exceed the amount paid by the Licensee for the applicable Software license, except where such limitations are prohibited by law.

10. Termination

This license remains effective unless terminated due to a material breach of its terms.

If the Licensee materially violates this agreement and fails to remedy the violation within 30 days of written notice, the Licensor may terminate the license.

Upon termination, the Licensee must discontinue use of the Software and remove all unlicensed copies.

Provisions concerning intellectual property, warranty disclaimers, and limitations of liability survive termination.

11. Governing Law

This agreement is governed by the laws of the State of Kansas, United States, without regard to conflict-of-law principles.

12. Acceptance

By purchasing, installing, or using Docsmith, the Licensee agrees to be bound by the terms of this agreement.

If the Licensee does not agree to these terms, the Software must not be installed or used.
