Mailroom Commercial License Agreement

This Commercial License Agreement ("License") governs the use of Mailroom ("Software"), an ExpressionEngine add-on developed and distributed by Bison Digital.

1. License Grant

Subject to the terms of this License, Bison Digital grants you a non-exclusive, non-transferable license to install and use Mailroom on one production ExpressionEngine website per purchased license.

A separate Mailroom license is required for each additional production website.

The license may be purchased and used by a website owner, organization, developer, or agency on behalf of a client.

2. Per-Site Licensing

Each Mailroom license covers one production website.

For the purposes of this License, a "Site" means a single ExpressionEngine installation or website intended to operate as one production web property.

A licensed Site may also have associated copies used solely for:

  • Local development
  • Development servers
  • Staging environments
  • Testing environments
  • Continuous integration or deployment
  • Backup and disaster recovery

These associated environments do not require additional licenses provided they support the same licensed production Site.

A separate license is required when Mailroom is used on another production website, including another client website or independently operated web property.

3. Purchase and Pricing

Mailroom is commercial software and is currently offered for $15 USD per Site.

Purchase of Mailroom grants you a license to use the version of the Software obtained at the time of purchase, subject to the terms of this License.

Purchase of Mailroom does not transfer ownership of the Software or its source code.

Bison Digital may change the price, licensing model, features, support terms, or availability of future releases.

4. Future Versions

Minor updates within the same major version may be made available at Bison Digital's discretion.

Future major releases, including Mailroom 2.x and later, may require the purchase of an upgrade, new license, subscription, or other commercial arrangement.

Purchase of Mailroom 1.x does not guarantee access to future major versions, premium features, services, updates, or support.

A version of Mailroom lawfully obtained under this License may continue to be used on its licensed Site under the terms that applied when it was purchased.

5. Permitted Use

You may:

  • Install and use Mailroom on one production Site for each license purchased.
  • Install Mailroom on development, staging, testing, and local environments associated with that Site.
  • Purchase and install Mailroom on behalf of a client.
  • Use Mailroom as part of commercial website development projects.
  • Configure Mailroom to connect with supported email transports and delivery services.
  • Modify Mailroom as reasonably necessary to integrate it into the licensed Site.
  • Make reasonable backup copies associated with the licensed Site.
  • Transfer management of the licensed Site to the client for whom it was developed.

6. Restrictions

You may not:

  • Use a single Mailroom license on multiple production websites.
  • Reuse a client Site license for another client or unrelated production website.
  • Sell, sublicense, publish, distribute, or redistribute Mailroom as a standalone product.
  • Repackage Mailroom and offer it as your own add-on, email service, library, product, or development tool.
  • Make Mailroom available for download or distribution to third parties except as necessary to develop or deliver the licensed Site.
  • Remove or obscure copyright, licensing, attribution, or proprietary notices contained within the Software.
  • Use Mailroom or substantial portions of its original source code to create and distribute a competing ExpressionEngine email delivery add-on.
  • Claim ownership or authorship of Mailroom or any portion of the Software owned by Bison Digital.

7. Client Projects

Developers and agencies may purchase Mailroom for use on client projects.

Each client production Site requires its own Mailroom license.

Development, staging, testing, and local copies associated with that client Site are covered by the same license.

When a completed website is delivered to a client, the client may continue to use Mailroom as part of that licensed Site.

The client does not receive the right to use the same license on another production Site or to separately redistribute, resell, sublicense, or repackage Mailroom.

8. Site Transfers

A Mailroom license is associated with a Site rather than a particular developer or agency.

If ownership or management of the licensed Site changes, the Mailroom license may remain with that Site.

A developer or agency may not retain and reuse that license for another production website after transferring the licensed Site to a client or another party.

9. Email Services and Transports

Mailroom provides tools for routing and managing email sent by ExpressionEngine through supported transports and third-party email services.

Use of Mailroom may require accounts, credentials, API keys, SMTP services, or other services provided by third parties.

Mailroom's purchase price does not include fees charged by third-party email providers, hosting providers, internet service providers, or other external services.

You are responsible for:

  • Maintaining any required third-party accounts.
  • Providing valid authentication credentials and configuration.
  • Complying with the terms and acceptable-use policies of your email providers.
  • Maintaining appropriate sender identities, domains, DNS records, and authentication settings.
  • Paying any fees associated with third-party services.

Bison Digital is not responsible for changes, limitations, outages, suspensions, pricing changes, or discontinuation of third-party services.

10. Email Delivery

Mailroom is designed to improve the management, routing, logging, testing, and diagnosis of email sent from ExpressionEngine.

Bison Digital does not guarantee that any individual email will be accepted, delivered, delivered within a specific period, or delivered to a recipient's inbox.

Email delivery may be affected by factors outside Mailroom's control, including:

  • Receiving mail servers
  • Spam and reputation systems
  • DNS configuration
  • Sender authentication
  • Email provider policies
  • Rate limits
  • Account restrictions
  • Network availability
  • Recipient settings
  • Third-party service outages

Mailroom's logging, diagnostics, retry, and transport features do not constitute a guarantee of successful delivery.

11. Logging and Data

Mailroom may store information related to email activity for the purposes of logging, troubleshooting, diagnostics, and delivery management.

Depending on configuration and usage, these records may include information such as recipients, senders, subjects, provider responses, status information, timestamps, and error messages.

You are responsible for configuring and using Mailroom in accordance with applicable privacy, security, data-retention, and regulatory requirements governing your Site and organization.

Bison Digital does not determine what information you send through Mailroom or how long you retain Mailroom-generated logs.

12. Ownership

Mailroom is licensed, not sold.

Bison Digital retains all right, title, and interest in Mailroom, including its original source code, ExpressionEngine integration, transport system, interface, diagnostics, logging functionality, documentation, branding, and other original materials, except for third-party components identified separately.

No ownership rights are transferred under this License.

13. Third-Party Software

Mailroom may incorporate or depend upon third-party open-source software, libraries, APIs, services, protocols, or other components.

Third-party components remain subject to their respective licenses and terms.

Nothing in this License is intended to restrict rights granted by, or override obligations imposed by, a third-party license.

Third-party services accessed through Mailroom remain governed by the terms established by their respective providers.

14. Updates and Support

Unless separately stated by Bison Digital, purchase of Mailroom does not guarantee technical support, maintenance, compatibility updates, new features, or future major releases.

Bison Digital may provide updates and support at its discretion and may discontinue support or development of any version of Mailroom.

Changes made by ExpressionEngine, hosting environments, PHP, email providers, APIs, authentication systems, or other third-party technologies may affect Mailroom's compatibility or functionality.

15. Termination

Your rights under this License terminate automatically if you materially violate its terms.

Upon termination, you must stop using Mailroom on any unlicensed Site and cease unauthorized distribution of the Software.

Bison Digital may provide an opportunity to remedy a violation before termination where appropriate.

16. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

BISON DIGITAL DOES NOT WARRANT THAT MAILROOM OR ANY THIRD-PARTY EMAIL SERVICE WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR DELIVERY FAILURE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BISON DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, EMAIL, REVENUE, PROFITS, BUSINESS, OR COMMUNICATIONS ARISING FROM THE USE OF OR INABILITY TO USE MAILROOM.

BISON DIGITAL SHALL NOT BE LIABLE FOR EMAIL DELIVERY FAILURES, PROVIDER OUTAGES, ACCOUNT SUSPENSIONS, SPAM FILTERING, BLOCKLISTING, OR OTHER ACTIONS OR FAILURES OF THIRD-PARTY EMAIL SERVICES.

18. Changes to This License

Bison Digital may publish different licensing or pricing terms for future versions of Mailroom.

Changes applying to a future release do not retroactively alter the license granted for a version you previously purchased unless you expressly agree to the new terms.
